    Biography

    Vipal is a Partner in Patron Law’s Real Estate team. He advises individuals, investors, developers and corporate clients on a broad range of residential and commercial property transactions, including freehold and leasehold acquisitions and disposals, high-value residential conveyancing, auction purchases, commercial leases, assignments, renewals, refinancing and secured lending.

    He also has particular experience providing independent legal advice to borrowers, guarantors, directors, shareholders and third-party security providers in connection with finance documents, personal guarantees, legal charges, occupier waivers and joint borrower sole proprietor arrangements.

    Vipal regularly handles time-sensitive and technically complex transactions requiring close coordination with lenders, brokers, agents and other professional advisers. He is known for providing clear, pragmatic and commercially focused advice, identifying issues early and guiding clients through each stage of a transaction in straightforward language. His hands-on and responsive approach is focused on protecting his clients’ interests while progressing matters efficiently towards completion.

     

    Some recent highlights include:

    Acting for the lender on a £30 million refinance secured over a portfolio of hotel and gym assets in Greater London, including a Grade II listed property with historic rentcharges, a fee farm rent and shared road-maintenance obligations. The borrower then instructed the firm on a further refinance of the same portfolio six months later, onto better terms with a new lender, and completing on Boxing Day to meet a hard deadline.
    Acting for a landowner joint venture on the conditional sale of a development parcel at a major East Midlands garden village to a national care-home developer, including a back-to-back same-day acquisition of a ransom strip, a variation of the overarching option agreement, and resolution of a Land Registry plan error affecting several neighbouring titles.
    Acting as solicitor to the RTM freeholder of a large residential block of more than 100 flats in Lancaster Gate, handling the building’s programme of lease extensions and renewals.
    Acting for a property investment company on the £2.75 million acquisition of a freehold commercial site in East London, secured for a proposed apart-hotel scheme of more than 20 units for which planning is being pursued. The purchase was structured around an exclusivity agreement and a contract conditional on vacant possession.
    Acting for family office and private investor landlords on a series of restaurant and leisure lettings. Including notably, a new 20-year lease of ground-floor and basement premises in East London at rents rising to £300,000 a year (a shell-and-core letting with tenant fit-out), a prime letting in the City of London, and a café and restaurant letting with detailed operational, food-use and pest-control covenants.
    Routinely advising individuals giving personal guarantees, occupier’s consent and waiver deeds, and joint-borrower/sole-proprietor arrangements for buy-to-let and commercial lending, for numerous lenders.
